Terms of Service

1. Agreement to Terms

By creating an account or using YellowChimp (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you and YellowChimp (“we”, “us”, “our”).

2. Service Description

YellowChimp is an AI-powered application factory. You describe what you want to build; the platform uses large language model APIs (including Anthropic's Claude) to generate, build, and deploy software projects on your behalf.

3. Subscriptions and Billing

The Service is offered under the following subscription tiers. All prices are in USD and billed monthly.

  • Starter — $20/month, includes $20 in AI credits.
  • Builder — $50/month, includes $55 in AI credits.
  • Pro — $200/month, includes $220 in AI credits.

A one-time first-deployment fee of $20 applies to each project at the time of its first live deployment to a public URL.

Subscription fees are non-refundable except as required by applicable law.

4. AI Usage and Anthropic Cost Pass-Through

4.1 Included Credits

Each subscription tier includes a monthly AI credit allowance (see Section 3). Credits are consumed by AI model calls made by the platform on your behalf, including project assessment, code generation, and chat refinement. Unused credits do not roll over to subsequent billing periods.

4.2 Overage Pass-Through Policy

When your AI usage for a billing period exceeds your tier's included credit allowance, continued usage incurs overage charges. Overage costs reflect our actual Anthropic API costs and are passed through to you at the following rates:

  • Input tokens: $3.00 per 1,000,000 tokens
  • Output tokens: $15.00 per 1,000,000 tokens

These rates correspond to Anthropic's published API pricing at the time of this writing. We reserve the right to adjust overage rates if Anthropic changes its pricing; we will notify you by email at least 14 days before any rate change takes effect.

Overage charges are billed directly through Stripe and will appear on your monthly invoice alongside your subscription fee.

4.3 Real-Time Usage Visibility

A usage bar is always visible in your account dashboard while you are logged in. It shows your current-period consumption as a percentage of your included credit allowance. At 80% usage you will receive a warning notification. At 100% usage (threshold reached), the overage gate activates.

4.4 User Confirmation and Budget Cap Requirement

When your usage reaches or exceeds 100% of your included allowance:

  1. Explicit confirmation required. You must actively opt in to overage billing before any additional AI requests are processed. The platform will display a confirmation prompt; no overage charges are incurred without your explicit consent.
  2. Budget cap required. You must set a maximum overage budget (in USD). The platform will not accept overage opt-in unless a finite budget cap is provided.
  3. Automatic hard stop. When accumulated overage charges reach or exceed your stated budget cap, all further AI requests for that billing period are automatically blocked. No additional overage charges can be incurred beyond the cap you set. To resume AI usage before the next billing period, you must increase your budget cap, which resets the hard stop.

You are solely responsible for the accuracy of the budget cap you set and for monitoring your usage. YellowChimp is not liable for overage charges incurred before the cap is reached, provided those charges were incurred after you confirmed overage opt-in.

4.5 Anthropic Relationship

YellowChimp is a customer of Anthropic, PBC. The platform uses Anthropic's Claude models to deliver its AI features. Your use of the Service is subject to Anthropic's Acceptable Use Policy. Content that would violate Anthropic's policies may not be submitted to the platform.

5. Project Deployment and Hosting

Web projects and mobile + web projects are deployed to shared infrastructure operated by YellowChimp. Mobile-only projects are delivered as generated codebases only and are not deployed to any platform-managed host. You retain ownership of all generated code and may download or migrate it at any time.

6. Acceptable Use

You must not use the Service to:

  • Build applications that violate any applicable law or regulation.
  • Generate, distribute, or deploy malware, spyware, or any malicious software.
  • Attempt to circumvent rate limiting, authentication, or usage controls.
  • Submit content that is harmful, hateful, sexually explicit, or otherwise prohibited by Anthropic's Acceptable Use Policy.

Violation of this section may result in immediate account suspension without refund.

7. Intellectual Property

You retain all rights to application code generated by the platform on your behalf. The platform itself, including its UI, orchestration logic, and infrastructure, is proprietary to YellowChimp. Nothing in these Terms transfers ownership of YellowChimp intellectual property to you.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. YELLOWCHIMP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED CODE WILL BE FIT FOR ANY PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YELLOWCHIMP'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO YELLOWCHIMP IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email and/or via an in-app notification at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
